Terms of Service

These Terms of Service ("Terms") govern your use of the ChatClick website at chatclick.ca and the websites, hosting, and AI chat agent services we provide (together, the "Service"). The Service is operated by Norte Sur Consulting S.A.S., NIT 901.956.771-1, a Canadian-owned company registered in Medellin, Colombia ("ChatClick", "we", "us"). By using the Service or signing up as a client, you agree to these Terms.

1. The service

ChatClick builds and hosts a lead-generation website paired with a 24/7 bilingual AI chat agent that captures, qualifies, and books leads for your business. The standard bundle includes the website, hosting, booking integration, monthly content updates, and the AI agent trained on the information you provide. Add-ons (such as a French-language site, extra pages, a voice receptionist, content refreshes, or ad management) are optional and quoted separately.

2. Fees and payment

The standard bundle is $800 CAD one-time setup plus $150 CAD per month. Add-on pricing is provided in writing before any work begins. Setup is billed on a 30/70 split: a 30% deposit when you sign up, and the remaining 70% when your site goes live. The monthly fee begins when your site is launched and recurs monthly until cancelled.

Prices are quoted in Canadian dollars and payments are processed securely through Wompi, our third-party payment provider. Fees are exclusive of any applicable taxes, which will be added where required. Late or failed payments may result in suspension of the Service after notice.

3. Term, renewal, and cancellation

The monthly plan is month to month. It renews automatically each month until you cancel. You can cancel at any time by emailing us with 30 days notice. When you cancel, you keep your domain, and we will hand off your site files on request. The one-time setup fee is non-refundable once your site has been built and delivered.

4. Your responsibilities

You agree to provide accurate business information and content, to hold the rights to any material you give us to publish, and to use the Service lawfully. You are responsible for reviewing the content of your site and for the conduct of your business with the leads and customers the Service helps you reach. Acceptable use of the Service is described in our Acceptable Use Policy and SLA.

5. The AI chat agent

The AI agent is built on a third-party large language model and is trained on the information you provide. It is designed to escalate to a human when it is unsure, but like any automated system it can make mistakes or produce incorrect answers. It does not provide professional, legal, medical, or financial advice. You are responsible for the information you ask us to load into the agent and for reviewing how it represents your business. We are not liable for decisions you or your customers make based solely on the agent's output.

6. Intellectual property

You own the content you provide and the rights to your business brand. We grant you a license to use the website we build for you for as long as your account is active. We retain ownership of our underlying platform, code, templates, and the AI agent infrastructure. On cancellation we will hand off your site files so you can host them elsewhere, but our reusable platform components remain ours.

7. Service availability

We aim for high availability and rely on reputable infrastructure, but we do not guarantee that the Service will be uninterrupted or error-free. Planned maintenance, third-party outages, and events beyond our control may affect availability. Our service targets and support commitments are described in the SLA.

8. Disclaimers and limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind except those that cannot be excluded by law. We do not warrant any specific number of leads, bookings, or business results. To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

9. Indemnity

You agree to indemnify and hold harmless Norte Sur Consulting S.A.S. and ChatClick from claims arising out of the content you provide, your use of the Service, or your dealings with your own customers and leads.

10. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules, and you agree to the courts of Ontario as the venue for disputes, except where mandatory consumer-protection law provides otherwise. Norte Sur Consulting S.A.S. is incorporated in Colombia, and nothing in these Terms limits rights you may have under the laws that apply to you.

11. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes affecting active clients, give reasonable notice by email.
